California Engages Top Tech Lawyer to Contest Paramount-Warner Bros. Merger

These states are preparing legal challenges against Paramount's proposed $110 billion merger with Warner Bros. Discovery, aiming to halt the major entertainment industry consolidation.

The discussions with Van Nest follow a meeting with California's Attorney General Rob Bonta's office, where his potential involvement in the case was explored. If Van Nest accepts, he will face off against a formidable legal team representing Paramount, which includes prominent antitrust lawyers Jeffrey Kessler and Makan Delrahim. The coalition, primarily composed of Democratic attorneys general but also including some Republican counterparts, is expected to file their lawsuit within the next month. States such as New York, Colorado, Oregon, Nevada, Washington, Connecticut, and Tennessee are considering joining California in this legal endeavor.

Regulators on both domestic and international fronts are scrutinizing the proposed merger. The states' concerns currently focus on the potential impact on theatrical distribution, streaming services, and news outlets. Meanwhile, UK regulators have already launched their own investigation into the deal, setting an initial deadline of August 7 to decide whether to proceed with a more extensive 'phase 2' review. Paramount maintains that the transaction is pro-competitive, asserting it will create a stronger, more flexible entity capable of enhanced competition for audiences, premium content, and talent. Conversely, a spokesperson for Attorney General Bonta confirmed an active investigation into the acquisition, without providing further updates at this time. Van Nest's impressive legal career includes successfully representing Google in a high-profile copyright dispute with Oracle, leading to a Supreme Court victory, and defending Qualcomm in a significant antitrust case.
