Paramount CEO David Ellison is actively addressing concerns among his employees regarding the company's proposed acquisition of Warner Bros. Discovery (WBD). He has reiterated his strong belief in the merger's successful conclusion, despite legal obstacles in the form of antitrust lawsuits.

CEO's Reassurance Amidst Legal Hurdles

In a recent internal communication, Paramount's Chief Executive Officer, David Ellison, conveyed a message of assurance to his workforce. This communication aimed to alleviate anxieties surrounding the significant $111 billion merger with Warner Bros. Discovery, particularly in light of ongoing legal challenges.

Antitrust Delay and Strategic Pause

The memo followed Paramount's announcement to temporarily halt the merger proceedings. This decision was a direct response to antitrust lawsuits initiated by a coalition of twelve state attorneys general. The company has indicated that the transaction will not conclude before June 2027 or until a judicial resolution to the antitrust litigation is reached.

Unwavering Confidence in Merger Legality

Despite the temporary setback and the legal scrutiny, Ellison articulated a firm stance on the merger's legal standing. He emphasized the company's conviction that the transaction is fully compliant with all legal requirements and expressed strong confidence in its eventual successful realization. Discussions are underway to set trial dates, with an update expected soon.

Ellison acknowledged the uncertainty faced by employees and extended gratitude for their continued commitment. He underscored that, for the time being, both Paramount and WBD will operate as distinct entities, maintaining their independent business operations. The primary focus for both organizations remains on serving their respective audiences and executing their strategic objectives.

Global Regulatory Endorsements and Competitive Advantages

The CEO highlighted that numerous regulatory bodies and governmental authorities across 65 jurisdictions worldwide, including major economic regions like the European Commission, Australia, China, and the U.S., have either approved the merger or chosen not to contest it on competition grounds. This widespread approval, Ellison noted, reflects the merger's alignment with antitrust laws and its potential to foster a stronger, more competitive media landscape, thereby enriching storytelling, expanding consumer choices, and driving technological advancements.

Direct Engagement with Legal Challenges

Ellison further explained that the merger's closure was imminent prior to the lawsuits filed by the California Attorney General and the Writers Guild of America (WGA). To address these legal impediments, Paramount, WBD, the state attorneys general, and the WGA have jointly agreed to forego a preliminary injunction hearing and proceed directly to a full trial. Ellison believes this approach will effectively demonstrate the merits of their position and refute the plaintiffs' arguments.

Integration Planning and Future Outlook

While the merger remains paused, integration planning will continue under the guidance of the Integration Management Office (IMO). Adjustments to the pace and sequencing of this work will be made in consideration of the revised timeline. Ellison reaffirmed the company's commitment to transparency, promising to share significant, confirmed information as it becomes available. He concluded by reiterating confidence in the transaction's pro-competitive nature and its anticipated benefits for consumers, creators, and the broader entertainment sector.
