The entertainment giant has brought on board Jeffrey Kessler, a renowned antitrust litigator celebrated for his significant courtroom successes, to spearhead the defense of this monumental industry consolidation.

In a strategic maneuver on May 22, 2026, Paramount Global officially announced the engagement of Jeffrey Kessler to navigate the legal complexities surrounding its proposed acquisition of Warner Bros. Discovery. Kessler, a distinguished co-executive chair at Winston & Strawn, is acclaimed for his prowess in antitrust cases. His most recent triumph involved securing a landmark judgment for states in a lawsuit against Live Nation, demonstrating his ability to tackle formidable opponents and achieve favorable outcomes.

Paramount's decision to enlist Kessler comes as the company faces its initial legal hurdle: a lawsuit initiated by consumers asserting that the merger would significantly diminish competition across the streaming, news, and theatrical distribution sectors. The plaintiffs' legal representatives have already sought a preliminary injunction to halt the transaction, signaling a contentious battle ahead.

While Paramount does not foresee substantial legal obstacles from the Justice Department, state attorneys, or international regulatory bodies, Kessler's presence is expected to provide an robust shield should such challenges materialize. His addition complements an already formidable legal contingent, which includes Makan Delrahim, formerly Assistant Attorney General for Antitrust under the Trump administration, and David Gelfand, a former Deputy Assistant Attorney General for Litigation in the antitrust division during the Obama era. Legal experts from prestigious firms like Latham & Watkins and Cravath, Swaine & Moore are also actively engaged in securing regulatory endorsements for the deal.

Kessler has vociferously dismissed the consumer complaint as "unsubstantiated" and characterized it as "political fear-mongering that is both factually incorrect and irrelevant to antitrust scrutiny." He further stated that in his extensive career advocating for competition and consumer welfare, he has rarely encountered such a weak case attempting to obstruct a corporate transaction.

Kessler's track record includes a groundbreaking antitrust victory in 2019 against the National Collegiate Athletic Association (NCAA) on behalf of student-athletes, which paved the way for them to benefit from their name, image, and likeness – a transformative shift in collegiate sports. Last year, he also successfully represented a coalition of over 30 states in a case against Live Nation, culminating in a jury's finding that the company operated as a monopoly.
